To use the Services, you must be at least 16 years old and have the legal capacity to enter into these Terms. By accessing or using the Services, you confirm that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind the organization to these Terms.

2. Description of Services

Sharely.link offers a platform for secure file sharing and document requests, leveraging quantum-safe technology to ensure the highest level of security.

• File Upload and Sharing: Users can upload files to Sharely.link, generating a unique, secure link that can be shared with recipients. Recipients can use this link to download the uploaded file.
• File Request Feature: The "Request" feature enables users to generate a link for others to upload files securely. A passphrase is required to access and download the files, ensuring that only authorized recipients can view the content.

3. User Responsibilities

3.1. Content Ownership and Liability

• You retain full ownership of any content ("User Content") you upload through the Services. Sharely.link and Defense Station do not claim any ownership over your User Content. However, by uploading files, you grant Sharely.link a limited, non-exclusive license to store, manage, and deliver your User Content solely for the purpose of providing the Services.
• You are solely responsible for your User Content and must ensure that it:
  • Complies with all applicable laws and regulations.
  • Does not infringe on the intellectual property, privacy, or other rights of any third party.
  • Is free from viruses, malware, or other harmful components.
• Defense Station does not monitor or review User Content. You agree to indemnify and hold Defense Station harmless from any claims or damages arising from your User Content.

3.2. Prohibited Content and Activities

You agree not to use the Services to upload, share, or request any content that:

• Is illegal, harmful, or objectionable.
• Infringes on the rights of others, including intellectual property, privacy, and publicity rights.
• Promotes violence, discrimination, or illegal activities.
• Sharely does not support or condone any illegal activities or terrorism.
• We reserve the right to terminate your account or remove any content that violates these terms.

You also agree not to:

• Attempt to gain unauthorized access to the Services or other user accounts.
• Use the Services to distribute spam or malicious content.
• Interfere with the proper functioning of the Services.

4. Service Plans and Features

4.1. Free Plan

• A maximum file size of 5GB per file.
• File availability for 5 days from the upload date, after which files are automatically deleted.
• Display of advertisements during use.

4.2. Paid Plans

Sharely.link offers paid subscription plans that provide additional features, such as increased file size limits, extended file retention periods, and an ad-free experience. Details of these plans, including pricing, features, and terms, will be provided during the subscription process.

4.3. Data Retention and Deletion

Files uploaded under the Free Plan will be deleted automatically after 5 days. For paid plans, the retention period may vary based on the specific plan details. Users are responsible for managing their files before the expiration period to avoid data loss.

5. Privacy and Data Security

5.1. User Data and Privacy

Your privacy is important to us. Our Privacy Policy outlines how we collect, use, and protect your personal information. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

5.2. Passphrase Protection

For the "Request" feature, users are required to create a passphrase to protect the uploaded files. This passphrase is required to access the files. Defense Station does not store or manage passphrase, so it is your responsibility to securely share it with the intended recipient and keep it safe.

5.3. Security Measures

We employ industry-standard security measures, including quantum-safe encryption, to protect your User Content and data. However, no method of transmission or storage is completely secure. By using the Services, you acknowledge that you use the Services at your own risk.

6. Intellectual Property

6.1. Service Ownership

All intellectual property rights related to Sharely.link, including the website, design, software, and trademarks, are owned by Defense Station or its licensors. You do not acquire any rights in the Services other than the right to use them in accordance with these Terms.

6.2. User-Generated Content

While Defense Station does not claim ownership of the User Content you upload, you grant Defense Station a limited, worldwide, royalty-free license to host, store, and deliver your User Content solely for the purpose of providing the Services.

7. Limitations of Liability

7.1. Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Defense Station does not warrant that the Services will be uninterrupted, secure, or error-free.

7.2. Limitation of Liability

To the fullest extent permitted by law, Defense Station shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of data, profits, or business opportunities, even if Defense Station has been advised of the possibility of such damages.

7.3. Maximum Liability

In no event shall Defense Station’s total liability to you for all claims exceed the amount paid by you, if any, for accessing the Services during the twelve-month period preceding the event giving rise to the liability.

8. Termination and Suspension

8.1. Termination by User

You may stop using the Services at any time. If you have a paid subscription, terminating your account does not entitle you to a refund for any unused portion of the subscription.

8.2. Termination by Defense Station

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, especially if you violate these Terms. Upon termination, your right to use the Services will cease immediately, and any files you have uploaded may be deleted.

9. Governing Law and Dispute Resolution

9.1. Governing Law

These Terms are governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.

9.2. Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration in Canadian Jurisdiction. You agree to waive any right to a trial by jury or to participate in a class action.

10. Changes to These Terms

Defense Station may modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website or by email. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

11. Miscellaneous

11.1. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Defense Station regarding your use of the Services and supersede any prior agreements.

11.2. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

The failure of Defense Station to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
